Effective date: 28/09/2026

1. Introduction

Welcome to COLIBRIX ONE (the “Website”).

The Website is operated by Mellifera Operations Limited (“MOL”, “we”, “us”, or “our”), a company incorporated under the laws of Malta with company registration number C 105114 and registered office at ST Tower, Level 20, Testaferrata Street, Ta Xbiex XBX 1405, Malta.

COLIBRIX ONE is a commercial brand and trading name used within the Mellifera group in connection with payment, financial technology, infrastructure, software, and related business solutions.

By accessing or using the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use (the “Terms”). If you do not agree with these Terms, you should discontinue use of the Website.

The Website is intended for use by businesses and persons acting in a business or professional capacity. By using the Website you confirm that you are at least 18 years old and that, where you act on behalf of a business or other organisation, you are duly authorised to do so.

2. Purpose of the website

The Website is provided for general informational, commercial, marketing, and business communication purposes only.

The Website may contain information regarding:

  • payment infrastructure;
  • business accounts;
  • acquiring solutions;
  • virtual cards;
  • financial technology;
  • software solutions;
  • integrations;
  • compliance tools;
  • and related ecosystem services.

The Website does not itself constitute:

  • a regulated financial platform;
  • an electronic money account;
  • a payment account;
  • a regulated onboarding portal;
  • or a direct offer of regulated financial services.

Certain regulated payment and e-money services referenced within the COLIBRIX ONE ecosystem may be provided separately by Mellifera Kartiera Limited (“MKL”), a company incorporated under the laws of Malta with company registration number C 107685, an Electronic Money Institution authorised and regulated by the Malta Financial Services Authority under the Financial Institutions Act (Cap. 376 of the Laws of Malta).

MOL is not itself authorised or regulated as a financial or payment services provider and does not provide payment services, electronic money services, or any other regulated financial services through the Website. Where MOL supports the delivery of services offered by a regulated entity, it does so on behalf of, and under the responsibility of, that entity.

Where regulated services are provided by MKL or another regulated entity, separate onboarding procedures, contractual documentation, regulatory disclosures, and compliance requirements shall apply.

3. No professional or regulatory advice

The content available on the Website is provided for general informational purposes only.

Nothing contained on the Website constitutes or should be interpreted as:

  • legal advice;
  • financial advice;
  • investment advice;
  • accounting advice;
  • tax advice;
  • regulatory advice;
  • or a recommendation to enter into any transaction or regulated service relationship.

Users should obtain independent professional advice before relying on any information available on the Website.

4. No client relationship

Use of the Website, submission of contact forms, communication through the Website, or access to information on the Website does not by itself establish:

  • a client relationship;
  • a regulated financial relationship;
  • an account relationship;
  • or any contractual entitlement to services.

Any contractual relationship relating to regulated services shall arise only upon:

  • successful onboarding;
  • completion of applicable compliance and due diligence procedures;
  • and execution or acceptance of the relevant contractual documentation issued by the applicable entity.

MOL reserves the right to decline, suspend, restrict, or discontinue discussions, commercial enquiries, or access requests relating to the Website or to MOL’s own services at its discretion and subject to applicable law.

Any decision relating to regulated services, including regulated onboarding, acceptance of a regulated client, and the existence of any regulated client relationship, rests solely with the relevant authorised entity and is governed by that entity’s separate contractual documentation.

5. Website access and use

Users agree to access and use the Website only for lawful purposes and in a manner consistent with these Terms and applicable laws and regulations.

Users shall not:

  • misuse the Website;
  • attempt unauthorised access to systems or infrastructure;
  • interfere with Website functionality;

  • use the Website in connection with unlawful, fraudulent, abusive, or prohibited activities;
  • or use the Website in any manner that could damage the Website, infrastructure, reputation, or operations of MOL, MKL, or related entities.

We reserve the right to suspend, restrict, or block access to the Website where misuse, suspicious activity, or security concerns are identified.

MOL and the relevant rights holders expressly reserve all rights in the Website and its content against text and data mining within the meaning of Article 4(3) of Directive (EU) 2019/790 and the applicable national implementing legislation, save for indexing by search engines for the purpose of making the Website discoverable.

6. Intellectual property

Unless otherwise stated, all content available on the Website, including:

  • trademarks;
  • logos;
  • graphics;
  • text;
  • software elements;
  • designs;
  • layouts;
  • databases;
  • and materials

are owned by, licensed to, or lawfully used by MOL, MKL, or the relevant rights holders operating within the COLIBRIX ONE ecosystem.

No part of the Website may be copied, reproduced, distributed, modified, published, transmitted, displayed, reverse-engineered, or otherwise exploited without prior written permission from the relevant rights holder.

Subject to these Terms, you may view Website content and print or download extracts of it solely for your internal business purposes in connection with evaluating services referenced on the Website, provided that all copyright and other proprietary notices are retained. Except as expressly set out in this section, nothing contained on the Website grants any licence or right to use any intellectual property without prior written consent.

7. Third-party services and links

The Website may contain references or links to:

  • third-party platforms;
  • payment schemes;
  • software providers;
  • integrations;
  • infrastructure providers;
  • regulated institutions;
  • or external websites and services.

Such references are provided for convenience and informational purposes only and do not imply any endorsement of, or affiliation with, the relevant third party.

MOL does not control and is not responsible for:

  • the availability;
  • content;
  • accuracy;
  • policies;
  • security;
  • or practices

of third-party websites or services.

Access to and use of third-party services may be subject to separate contractual terms, privacy policies, and regulatory frameworks.

8. Regulatory and jurisdictional limitations

Certain services, products, technologies, or functionalities described on the Website may:

  • not be available in all jurisdictions;
  • require separate regulatory approvals;
  • be restricted to specific client categories;
  • or only be available subject to onboarding and compliance approval.

Nothing on the Website shall be interpreted as:

  • a solicitation;
  • offer;
  • or invitation

to provide regulated financial services in any jurisdiction where such activities would be unlawful or unauthorised.

Users are responsible for ensuring compliance with the laws and regulations applicable in their own jurisdiction.

The Website is not directed at, and the services referenced on it are not available to, persons located or ordinarily resident in any jurisdiction subject to comprehensive sanctions imposed by the United Nations, the European Union, Malta, the United Kingdom, or the United States, or persons designated on any applicable sanctions list.

9. Disclaimer of warranties

The Website and all information made available through it are provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, MOL disclaims all warranties, representations, and guarantees, whether express or implied, including:

  • accuracy;
  • completeness;
  • reliability;
  • availability;
  • merchantability;
  • fitness for a particular purpose;
  • non-infringement;
  • and uninterrupted operation.

MOL does not guarantee that:

  • the Website will always be available;
  • the Website will be error-free;
  • the Website will be secure;
  • or that defects or interruptions will always be corrected.

10. Limitation of liability

To the maximum extent permitted by applicable law, MOL shall not be liable for:

  • direct;
  • indirect;
  • incidental;
  • consequential;
  • punitive;
  • special;
  • or economic losses

arising from or relating to:

  • access to or use of the Website;
  • reliance on Website content;
  • interruption or unavailability of the Website;
  • technical failures;
  • third-party services;
  • cybersecurity incidents;
  • or unauthorised access to systems or data.

Nothing in these Terms excludes liability where such exclusion is prohibited under applicable law.

In particular, nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for wilful misconduct or gross negligence, or for any other liability that cannot lawfully be limited or excluded.

11. Privacy and cookies

Use of the Website is also subject to:

  • the Privacy Policy;
  • the Cookie Policy;
  • and the Legal and Regulatory Information page

available on the Website.

Users should review these documents carefully before using the Website or submitting information through it.

Where you submit personal data through the Website (for example, through a contact or enquiry form), MOL processes that personal data as controller in accordance with its Privacy Policy. Personal data processed in connection with regulated services is processed by the relevant regulated entity as controller under its own privacy notice.

Please do not submit payment card details, identity documents, or special categories of personal data through general Website contact or enquiry forms.

Questions about the processing of personal data may be addressed to MOL’s Data Protection Officer at dpo@colibrix.one.

12. Changes to the website and terms

MOL reserves the right to:

  • modify;
  • suspend;
  • discontinue;
  • restrict;
  • or update

the Website, its content, or these Terms at any time without prior notice.

Any updated version published on the Website shall become effective upon publication, and the effective date shown at the top of these Terms will be updated accordingly.

Continued use of the Website after updates constitutes acceptance of the revised Terms.

13. General provisions

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.

These Terms, together with the Privacy Policy, the Cookie Policy, and the Legal and Regulatory Information page, constitute the entire agreement between you and MOL in relation to your use of the Website and supersede any prior understanding on that subject. They do not affect any separate contractual documentation governing regulated services.

No failure or delay by MOL in exercising any right under these Terms shall operate as a waiver of that right, and no single or partial exercise of any right shall prevent any further exercise of it.

14. Governing law and jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Malta.

Any dispute arising out of or relating to these Terms or use of the Website shall be subject to the exclusive jurisdiction of the courts of Malta.

Nothing in this section deprives a user acting as a consumer of the protection of any mandatory provisions of the law of their country of habitual residence, or of any right to bring proceedings in the courts of that country, where applicable law so provides.
